Terms of Use

These Terms of Use ("Terms") govern your access to and use of Nodly (the "Service"), provided by Nodly ("Nodly", "we", "our", or "us"). By installing, accessing, or using the Service, you agree to these Terms on behalf of yourself and the organisation you represent.

1. The Service

Nodly is a Slack-based platform that surveys employees about their interests, clusters them into groups, and helps coordinate meetups and events. We may update, improve, or change features of the Service over time.

2. Installation and authorisation

The Service is installed into a Slack workspace through Slack's standard OAuth flow. The person installing Nodly confirms they are authorised to do so on behalf of their organisation and to grant the requested Slack permissions. You are responsible for activity that occurs through your workspace's installation.

3. Acceptable use

You may not resell, sublicense, or misuse the Service; attempt to disrupt or gain unauthorised access to it; reverse engineer it except as permitted by law; or use it to violate any applicable law or the rights of others.

4. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

5. Service availability and disclaimer

We work to keep the Service available and reliable, but it is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We are not responsible for failures or interruptions caused by Slack or other third-party services.

6. Limitation of liability

To the fullest extent permitted by law, Nodly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from your use of the Service. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

7. Termination

You may stop using the Service and uninstall Nodly from your Slack workspace at any time; uninstalling revokes Nodly's access immediately. We may suspend or terminate access if these Terms are breached or where necessary to protect the Service or its users. On termination, we delete associated personal data as described in our Privacy Policy.

8. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

9. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from or relating to them.
